Welcome to the XSPA website, operated by XSPA Group. By accessing or using this Site, our non-custodial wallet, or any services offered in connection with our XSPA utility token, you agree to comply with and be bound by these Terms and Conditions.

Introduction and Acceptance of Terms

These Terms and Conditions (the 'Terms') govern your access to and use of the XSPA website, the XSPA non-custodial wallet, the XSPA card, the XSPA utility token, and all related features (together, the 'Services'), operated by XSPA Group ('XSPA', 'we', 'us'). By accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not use the Services.

Definitions

In these Terms: 'Services' means the XSPA website, wallet, card, token and related features; 'Wallet' means the XSPA non-custodial wallet; 'Digital Assets' means cryptocurrencies, tokens and other blockchain-based assets; 'XSPA Token' means the XSPA utility token; and 'you' means any person who accesses or uses the Services. Other terms are defined where they first appear.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. You may not use the Services where doing so is prohibited under the laws of your jurisdiction, or if you are subject to applicable sanctions or restrictions.

Account Registration

Certain features may require you to create an account or profile. You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

Identity Verification

Where required by applicable law, or to access certain features, we may ask you to provide information to help verify your identity. Any verification requirements that apply will be made available to you at the relevant time. We may decline, limit or suspend access to features where requested verification is not completed.

Non-Custodial Wallet Disclaimer

The XSPA Wallet is non-custodial. You, and not XSPA, control your Digital Assets and the private keys associated with your Wallet. XSPA does not hold, store, or have access to your Digital Assets, private keys, seed phrase or recovery phrase, and cannot transact, freeze or recover funds on your behalf. A 0.09% send fee applies when you send Digital Assets from your Wallet.

Private Keys, Seed Phrase and Recovery Phrase

You are solely responsible for securely generating, storing and backing up your private keys, seed phrase and recovery phrase. Anyone who obtains them can control your Wallet and Digital Assets. Never share them with anyone, including persons claiming to represent XSPA.

Loss of Private Keys and Irreversible Loss of Assets

If you lose your private keys, seed phrase or recovery phrase, you may permanently and irreversibly lose access to your Digital Assets. Because the Wallet is non-custodial, XSPA cannot recover, reset or restore access to your Wallet or funds under any circumstances.

Blockchain Transactions and Confirmations

Transactions made through the Services are recorded on public blockchains and processed by decentralized networks outside XSPA's control. Once broadcast, a transaction generally cannot be cancelled, reversed or modified. Confirmation times and network ('gas') fees vary and are determined by the relevant network, not by XSPA.

Transaction Accuracy

You are responsible for verifying all transaction details before confirming, including the recipient address, network, asset type and amount. Transactions sent to an incorrect or incompatible address or network may be irretrievably lost, and XSPA is not responsible for losses resulting from user error.

Supported Assets

The Services support certain Digital Assets and blockchain networks, which may change over time at our discretion. Sending an unsupported asset, or using an unsupported network, may result in the loss of those assets. It is your responsibility to confirm that an asset or network is supported before transacting. Swapping between supported assets on the platform is subject to a 0.8% platform fee.

Third-Party Blockchain Risks

The Services rely on third-party blockchain networks and protocols that XSPA does not own or control. Congestion, forks, re-orgs, outages, changes to protocol rules, or network failures may affect the availability, cost or outcome of transactions. XSPA is not responsible for the operation of these networks.

Smart Contract Risks

Some features interact with smart contracts, which may contain bugs, vulnerabilities or unexpected behaviour and may be exploited by third parties. You use smart-contract-based features at your own risk and should understand how they work before proceeding.

Token Risks

The XSPA Token is a utility token intended to provide access to features and services. Its availability, functionality and any value may be affected by technical, market, regulatory and other factors. Holding or using the XSPA Token carries risk, and you should not acquire it in the expectation of profit.

Cryptocurrency Volatility

Digital Assets are highly volatile and their value can rise or fall significantly and rapidly. You accept all risks associated with holding, sending, receiving, swapping and spending Digital Assets, including the risk of partial or total loss of value.

No Investment Advice

Nothing provided through the Services constitutes financial, investment, legal, tax or other professional advice, and nothing is an offer or solicitation to buy or sell any asset. You are solely responsible for your decisions and should consult qualified professionals where appropriate.

Wallet Security Responsibilities

You are responsible for maintaining the security of your Wallet, including using strong authentication, keeping your recovery materials offline and secure, and taking reasonable steps to prevent unauthorized access. You accept responsibility for all activity conducted through your Wallet.

Device Security

You are responsible for the security of the devices you use to access the Services, including keeping software updated, using reputable security tools, and protecting against malware and unauthorized access. Compromise of your device may lead to loss of your Digital Assets.

Fraud and Phishing Warnings

Stay alert to scams, phishing, impersonation and other fraudulent schemes. XSPA will never ask for your private keys, seed phrase or recovery phrase. Verify website addresses and communications carefully, and do not act on unsolicited requests claiming to be from XSPA.

Card Terms

The XSPA card, where offered, lets you spend from your available balance, subject to these Terms, any additional card-specific terms, applicable limits, and the rules of the relevant card network. Card availability may vary by region and eligibility. Top-ups carry a 0% top-up fee, and a 2.5% fee applies to card transactions.

Card Misuse

You agree to use the card only for lawful purposes and in accordance with these Terms. Misuse, including fraudulent, abusive or unauthorized use, may result in suspension or termination of card access and any other measures permitted by law.

Lost or Stolen Card Procedures

If your card is lost, stolen or compromised, or you suspect unauthorized use, you should promptly take available steps to freeze or disable the card and notify us where a reporting channel is provided. Delays in reporting may increase your exposure to loss.

Merchant Disputes

Disputes about goods or services purchased from a merchant are between you and that merchant. XSPA is not a party to those transactions and is not responsible for merchant conduct, product quality, delivery, refunds or chargebacks, except as required by applicable law or card network rules.

Prohibited Activities

You agree not to use the Services for any unlawful, fraudulent or harmful activity, including money laundering, terrorist financing, fraud, market manipulation, sanctions evasion, infringing the rights of others, distributing malware, or attempting to disrupt or gain unauthorized access to the Services.

Sanctions Compliance

You represent that you are not located in, ordinarily resident in, or acting on behalf of any person in a jurisdiction subject to comprehensive sanctions, and that you are not a sanctioned or otherwise restricted person. You may not use the Services in violation of applicable sanctions or export-control laws.

Anti-Money Laundering

XSPA seeks to comply with applicable anti-money laundering and counter-terrorist-financing laws. We may take steps we consider necessary to meet our legal obligations, including requesting information or restricting access where appropriate. Nothing in these Terms obliges XSPA to monitor transactions.

Intellectual Property

All content, trademarks, logos, software and materials associated with the Services are owned by XSPA Group or its licensors and are protected by intellectual property laws. You may not copy, reproduce, modify, distribute or create derivative works from them without our prior written permission.

Privacy

Your use of the Services is subject to our Privacy Policy, which explains how information is handled. Please review it to understand our practices. By using the Services, you acknowledge the Privacy Policy.

Third-Party Services

The Services may link to or integrate with third-party websites, applications, protocols or services that we do not control. We are not responsible for their content, availability, security or practices, and your use of them is at your own risk and subject to their terms.

Service Availability

We aim to keep the Services available but do not guarantee uninterrupted, timely, secure or error-free operation. The Services may be unavailable due to maintenance, technical issues or factors beyond our control, and features may be changed, suspended or discontinued at any time.

Suspension or Termination

We may suspend, restrict or terminate your access to all or part of the Services at any time, with or without notice, where we consider it necessary, including for suspected breach of these Terms or for legal or security reasons. Because the Wallet is non-custodial, you retain control of your Digital Assets through your recovery materials.

Limitation of Liability

To the maximum extent permitted by law, XSPA Group and its affiliates, officers, employees and partners shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or Digital Assets, arising out of or relating to your use of, or inability to use, the Services, whether based in contract, tort, strict liability or otherwise, and even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Services shall not exceed the amount of fees, if any, you paid to XSPA for the specific Service giving rise to the claim in the twelve months before the event. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Disclaimer of Warranties

The Services are provided 'as is' and 'as available' without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be secure, uninterrupted or error-free, or that any Digital Asset will retain value.

Indemnification

You agree to indemnify, defend and hold harmless XSPA Group and its affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or connected with your use of the Services, your breach of these Terms, or your violation of any law or third-party right.

Force Majeure

XSPA shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, blockchain or network failures, power or internet outages, or governmental action.

Taxes

You are solely responsible for determining and paying any taxes that apply to your use of the Services and your Digital Asset activity. XSPA does not provide tax advice and is not responsible for reporting or remitting taxes on your behalf unless required by law.

Compliance with Local Laws

You are responsible for ensuring that your use of the Services complies with all laws and regulations that apply to you. The Services may not be available or appropriate in every jurisdiction, and accessing them from certain locations may be prohibited.

Electronic Communications

You consent to receive communications from us electronically, including notices, disclosures and agreements, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.

Amendments to the Terms

We may update or modify these Terms from time to time. Changes take effect when posted, unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms, so please review them periodically.

Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. These Terms bind and benefit the parties and their permitted successors and assigns.

Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be modified to the minimum extent necessary, or severed, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with any additional terms and policies referenced here (including the Privacy Policy), constitute the entire agreement between you and XSPA regarding the Services and supersede all prior agreements and understandings on that subject.

Governing Law

These Terms are governed by and construed in accordance with the laws of the applicable governing jurisdiction, without regard to conflict-of-law principles. The specific governing jurisdiction and venue for resolving disputes will be specified by XSPA Group.
